1. Agreement to Terms

By accessing or using Vorzi ("Service"), operated by DAR ENTERPRISE P.S.A. (brand: CyberNinja.digital), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Service Provider

Vorzi is a cloud-based cleaning business management platform that provides tools for scheduling, client management, invoicing, team coordination, and business analytics. The Service is provided "as is" and "as available."

3. User Accounts

3.1 Registration

To use certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and keep your account information updated.

3.2 Account Security

You are responsible for safeguarding your password and for all activities under your account. You must notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

4. Subscription and Payments

4.1 Pricing

Some features require a paid subscription. Prices are listed on our website and may change with 30 days' notice. Changes do not affect current billing periods.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. Payment is processed through Stripe. By providing payment information, you authorize us to charge your payment method.

4.3 Free Trial

We offer a 7-day free trial. No credit card is required. At the end of the trial, you must subscribe to continue using paid features.

4.4 Refunds

Subscription fees are non-refundable except as required by applicable law. You may cancel your subscription at any time, and it will remain active until the end of the billing period.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Impersonate another person or entity
• Use the Service to send spam or unsolicited communications
• Collect user information without consent
• Reverse engineer or decompile the Service
• Use automated systems to access the Service without permission

6. Your Content

6.1 Ownership

You retain all rights to content you upload to the Service ("Your Content"). By uploading content, you grant us a limited license to use, store, and display it solely to provide the Service.

6.2 Responsibility

You are solely responsible for Your Content. You represent that you have all necessary rights to upload and use such content.

6.3 Data Export

You may export Your Content at any time through the Service's data export features. Upon account termination, you have 30 days to export your data before it is deleted.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Vorzi and protected by international copyright, trademark, and other intellectual property laws.

Our trademarks may not be used without our prior written consent. All other trademarks appearing in the Service are the property of their respective owners.

8. Third-Party Services

The Service may integrate with third-party services (Google Maps, Stripe, etc.). Your use of such services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Vorzi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, or business opportunities
• Service interruption or system failure
• Unauthorized access to your transmissions or data
• Any conduct of third parties on the Service

Our total liability shall not exceed the amount you paid us in the 12 months prior to the claim.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Indemnification

You agree to indemnify and hold harmless Vorzi and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable laws of Poland. Any disputes shall be resolved in the competent courts of Warsaw, Poland.

13. Dispute Resolution

For EU consumers: The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr.

We are committed to resolving disputes amicably. Please contact us before pursuing formal legal action.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

16. Consumer Rights

If you are an EU consumer, you have the right to withdraw from a contract within 14 days without giving any reason. This withdrawal period expires 14 days from the day of the conclusion of the contract.

To exercise the right of withdrawal, you must inform us of your decision by an unequivocal statement (e.g., a letter sent by post or email).
